The Delaware Court of Chancery has whittled down the claims against Dow Chemical Co. in a suit over a failed joint development agreement with Akzo Nobel Coatings.

But Vice Chancellor Donald F. Parsons Jr. kept alive Akzo’s claims for breach of contract and misuse of confidential information stemming from Dow’s alleged termination of the agreement and use of the Akzo information in subsequent patent filings. Parsons granted Dow’s motion to dismiss claims of breach of the implied covenant of good faith and fair dealing, conversion and unjust enrichment.
