The Delaware Court of Chancery largely focused its attention this year on the validity of fee-shifting and exclusive forum bylaws. Although both issues remain largely undefined, the plaintiff activity in these cases could help decide the scope of such bylaws next year.

Other significant events impacting the Chancery Court in 2014 included the appointment of a new chancellor and an end to the Chancery Court’s arbitration program. In an unusual move for an equity court, the Chancery Court issued its first-ever arrest warrant in April.
