In her first published opinion on the Delaware Court of Chancery, Vice Chancellor Tamika Montgomery-Reeves blocked an attempt by a TripAdvisor stockholder to hold the travel advisory company liable for bad faith in granting a director restricted stock units upon his departure from the board.

In a 44-page opinion, the court’s newest vice chancellor granted the company’s motion to dismiss the derivative suit, saying the plaintiff, Julie Friedman, failed to show TripAdvisor’s board breached its duties of care and loyalty in refusing her demand that the board bring its own litigation.
